End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End User," "you," or "your") and SOUTH BEACH CASINO CLUB LTD ("Licensor," "we," "us," or "our") for the South Beach Casino Club software application ("Licensed Application" or "App"), which includes related software, media, printed materials, and online or electronic documentation.

1. License Grant

Subject to the terms and conditions of this EULA, Licensor hereby grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download, install, and use the Licensed Application on an iOS device that you own or control
  • Access and use the features and functionality provided by the Licensed Application
  • Use the Licensed Application solely for personal, non-commercial purposes

This license does not allow you to use the Licensed Application on any device that you do not own or control, and you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time.

2. License Restrictions

You may NOT:

  • Copy, modify, translate, adapt, or otherwise create derivative works of the Licensed Application
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Licensed Application
  • Remove, alter, or obscure any proprietary notices, labels, or marks from the Licensed Application
  • Lease, rent, loan, sell, sublicense, distribute, or transfer the Licensed Application or any rights granted under this EULA
  • Use the Licensed Application for any illegal purpose or in violation of any applicable law
  • Circumvent or attempt to circumvent any security features of the Licensed Application
  • Use the Licensed Application to harass, abuse, stalk, threaten, or harm others
  • Interfere with or disrupt the integrity or performance of the Licensed Application

3. Ownership

The Licensed Application is licensed, not sold, to you. Licensor retains all right, title, and interest in and to the Licensed Application, including all intellectual property rights therein. The Licensed Application is protected by copyright laws and international treaty provisions.

All trademarks, service marks, logos, and trade names displayed in the Licensed Application are the property of their respective owners. Nothing in this EULA grants you any right to use any trademark without the prior written permission of the trademark owner.

4. Third-Party Software and Services

The Licensed Application may incorporate or make use of third-party software libraries, frameworks, or services, including but not limited to:

  • Google Fonts (Source Sans 3, Open Sans)
  • SharedPreferences and Hive for local data storage

Your use of such third-party components is subject to their respective license terms. Licensor makes no representations or warranties regarding any third-party components.

5. Data Usage and Storage

The Licensed Application stores certain data locally on your device, including:

  • User account credentials and preferences
  • Stay history and booking information
  • Beach Bucks rewards data
  • Cached content for improved performance

Local data storage is implemented using SharedPreferences and Hive databases. You acknowledge that data stored locally on your device is your responsibility to protect.

6. Updates and Maintenance

Licensor may, from time to time, provide updates to the Licensed Application, which may include bug fixes, feature enhancements, or security patches. You agree that:

  • Updates may be automatically downloaded and installed on your device
  • The terms of this EULA apply to all updates
  • Licensor has no obligation to provide updates, support, or maintenance

7. Term and Termination

This EULA is effective from the date you first download, install, or use the Licensed Application and continues until terminated. This EULA will terminate automatically if you fail to comply with any of its terms and conditions.

Upon termination:

  • All rights granted to you under this EULA shall immediately cease
  • You must cease all use of the Licensed Application and delete all copies from your device
  • Provisions that by their nature should survive termination shall survive

8. Disclaimer of Warranties

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT:

  • THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS
  • THE LICENSED APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM USING THE LICENSED APPLICATION WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE LICENSED APPLICATION WILL BE CORRECTED

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION.

LICENSOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO LICENSOR FOR THE LICENSED APPLICATION (IF ANY) OR ONE HUNDRED UNITED STATES DOLLARS (US$100.00), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Licensed Application
  • Your violation of this EULA
  • Your violation of any rights of a third party
  • Your violation of any applicable law or regulation

11. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which SOUTH BEACH CASINO CLUB LTD is established, without regard to conflict of law principles.

Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Export Compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

13. Government End Users

The Licensed Application is a "Commercial Item" as defined at 48 C.F.R. 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." If you are a U.S. Government end user, you acquire the Licensed Application with only those rights set forth in this EULA.

14. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

This EULA constitutes the entire agreement between you and Licensor regarding the Licensed Application and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

16. Waiver

No waiver of any provision of this EULA shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right under this EULA shall operate as a waiver of such right.

17. Changes to this EULA

Licensor reserves the right to modify or update this EULA at any time. Material changes will be communicated through the Licensed Application or by other means. Your continued use of the Licensed Application after such changes constitutes acceptance of the revised EULA.

18. Apple App Store Additional Terms

The following additional terms apply if you downloaded the Licensed Application from the Apple App Store:

  • Acknowledgment: This EULA is between you and SOUTH BEACH CASINO CLUB LTD, not with Apple. Apple is not responsible for the Licensed Application.
  • Scope of License: The license granted to you is non-transferable and limited to use on iOS devices you own or control.
  • Maintenance and Support: Licensor is solely responsible for providing maintenance and support services. Apple has no obligation to furnish any maintenance and support services.
  • Warranty: In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation.
  • Product Claims: Licensor is responsible for addressing any claims relating to the Licensed Application, including product liability claims.
  • Intellectual Property: Licensor, not Apple, is responsible for investigating and defending against any third-party intellectual property infringement claim.
  • Third-Party Terms: You must comply with applicable third-party terms when using the Licensed Application.
  • Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of this EULA and have the right to enforce this EULA against you.
